AGREEMENT

This Digital Media License Agreement (“Agreement”) governs the purchase, download, access, possession, and use of photographs, videos, digital images, graphics, and other digital media (“Media”) provided or sold by Wil the Photographer, LLC (“Company,” “we,” “our,” or “us”).

By purchasing, downloading, accessing, or using Media from

or through any service operated by Wil the Photographer, LLC, you agree to this Agreement.

Where an acceptance checkbox or similar electronic acknowledgment is presented during checkout, selecting that checkbox constitutes your electronic acceptance of this Agreement.

If you do not agree to these terms, you may not download, copy, use, distribute, publish, or otherwise use the Media.

OWNERSHIP AND COPYRIGHT

Purchasing Media does not transfer copyright or ownership of the Media to the purchaser.

Unless expressly stated otherwise in writing, all copyrights and intellectual property rights in the Media remain the exclusive property of Wil the Photographer, LLC or the applicable copyright owner.

The purchaser receives only the license rights expressly granted under this Agreement.

All rights not expressly granted are reserved.

PERSONAL-USE LICENSE

Unless a commercial license or other written license is specifically purchased or granted, all Media is licensed for personal, non-commercial use.

Wil the Photographer, LLC grants the original purchaser a non-exclusive, non-transferable, perpetual personal-use license, subject to this Agreement.

Permitted personal uses include:

  • Viewing the Media on personal computers, phones, tablets, televisions, and other personal devices.
  • Saving reasonable backup copies for the purchaser’s personal use.
  • Printing photographs for personal, non-commercial display.
  • Sharing purchased Media on the purchaser’s personal social-media accounts for non-commercial purposes.
  • Using Media for personal profiles, personal posts, personal albums, and similar non-commercial purposes.

PERSONAL-USE RESTRICTIONS

A personal-use license does not permit the purchaser to:

  • Sell or resell the Media.
  • License, sublicense, or distribute the Media to another person or business.
  • Use the Media in advertising, paid promotions, sponsorships, or commercial marketing.
  • Use the Media to promote a business, brand, product, event, service, performer, organization, or commercial venture.
  • Upload the Media to a stock photography, stock video, mass-licensing, resale, or content marketplace.
  • Make the original full-resolution Media publicly downloadable.
  • Sell prints, merchandise, posters, apparel, digital products, or other products containing the Media.
  • Claim ownership or authorship of the Media.
  • Remove or alter copyright, ownership, license, watermark, tracking, or metadata information for the purpose of concealing the source or ownership of the Media.

COMMERCIAL-USE LICENSE

Commercial use is permitted only when the purchaser has obtained a commercial license directly from Wil the Photographer, LLC or has received separate written authorization.

Subject to any additional terms stated at the time of purchase, a commercial license grants the purchaser a non-exclusive, non-transferable, worldwide license to use the applicable Media for approved commercial purposes.

Approved commercial uses may include:

  • Business advertising and promotional materials.
  • Commercial websites and social-media accounts.
  • Flyers, posters, brochures, advertisements, and promotional graphics.
  • Editorial publications, magazines, books, and newspapers.
  • Video productions, films, broadcasts, and digital productions.
  • Event promotions.
  • Business presentations and marketing campaigns.

A commercial license applies only to the Media specifically covered by that license.

COMMERCIAL LICENSE RESTRICTIONS

Unless separately authorized in writing, a commercial license does not permit:

  • Resale of the original Media as a standalone product.
  • Sublicensing or transferring the Media to another person or business.
  • Uploading the Media to stock photography, stock video, template, licensing, or resale marketplaces.
  • Making high-resolution source files publicly downloadable.
  • Registering the Media itself as a trademark, service mark, or business logo.
  • Claiming copyright ownership of the Media.
  • Using the Media in a manner that is unlawful, fraudulent, defamatory, misleading, or that unlawfully violates another person’s rights.
  • Using the Media in a manner that falsely suggests Wil the Photographer, LLC endorses or sponsors the purchaser, product, business, organization, or campaign.

COMMERCIAL ATTRIBUTION

Unless a commercial license or written agreement expressly waives attribution, commercially published Media should include reasonable attribution to:

“Media by Wil the Photographer, LLC”

A different credit format may be approved in writing.

NO TRANSFER OR SUBLICENSING

Licenses are issued to the original purchaser only.

The purchaser may not sell, assign, transfer, sublicense, lend, or otherwise provide the license to another individual, company, organization, or entity without prior written authorization from Wil the Photographer, LLC.

Purchasing Media on behalf of another person does not automatically transfer license rights unless such use is specifically authorized.

FILE SHARING AND DISTRIBUTION

The purchaser may not distribute original full-resolution Media files to friends, customers, businesses, organizations, online groups, file-sharing services, or other third parties except where expressly permitted by the applicable license.

Sharing login credentials, private download URLs, license keys, secure access tokens, or other mechanisms used to obtain purchased Media is prohibited.

DERIVATIVE WORKS AND EDITING

Reasonable cropping, resizing, color adjustments, captions, layouts, and similar modifications are permitted when reasonably necessary for an otherwise authorized use.

Media may not be altered or manipulated in a way that:

  • Creates a false or misleading representation of the original subject or context.
  • Damages or falsely portrays the reputation of Wil the Photographer, LLC.
  • Creates unlawful, defamatory, fraudulent, or deceptive content.
  • Is intended primarily to create a competing stock image, template, digital asset, or other resale product.

AI AND MACHINE LEARNING RESTRICTIONS

Unless Wil the Photographer, LLC provides prior written authorization, the Media may not be used to train, fine-tune, test, develop, or improve artificial intelligence, machine-learning, neural-network, facial-recognition, biometric, image-generation, video-generation, or similar automated systems.

The Media may not be uploaded to an AI training dataset, model-training platform, data broker, dataset marketplace, or similar service for the purpose of training or developing AI or machine-learning systems.

AI-ASSISTED EDITING

The AI training restriction does not automatically prohibit ordinary AI-assisted editing of legally licensed Media solely for the purchaser’s authorized personal or commercial use, provided that:

  • The Media is not contributed to a public or reusable training dataset.
  • The resulting use otherwise complies with this Agreement.
  • The purchaser does not obtain or claim copyright ownership over the original Media.

FACIAL RECOGNITION AND BIOMETRIC USE

The Media may not be used to create, develop, populate, or train a facial recognition database, biometric identification system, surveillance dataset, or similar identification technology without prior written authorization.

NFT AND BLOCKCHAIN RESTRICTIONS

The Media may not be minted, tokenized, sold, distributed, or incorporated into a non-fungible token (“NFT”), blockchain asset, cryptocurrency project, or similar digital ownership product without prior written authorization from Wil the Photographer, LLC.

MODEL AND PROPERTY RELEASES

Unless expressly stated in writing, the purchase or licensing of Media does not include a model release, property release, trademark release, or other third-party authorization.

Media may include identifiable individuals, privately owned property, businesses, venues, trademarks, artwork, or other third-party content.

The purchaser is responsible for determining whether additional permissions or releases are legally required for the purchaser’s intended use.

This requirement is particularly important for advertising, endorsement, commercial promotion, sensitive subject matter, or other uses that may implicate privacy, publicity, trademark, or property rights.

RIGHT OF PUBLICITY DISCLAIMER

The appearance of an identifiable individual in Media does not automatically grant the purchaser permission to imply that individual endorses a product, service, business, political position, organization, or commercial message.

The purchaser is responsible for obtaining any additional permissions required for the purchaser’s intended use.

NO FALSE ENDORSEMENT

Use of Media must not falsely state or imply that Wil the Photographer, LLC, any person depicted in the Media, any venue, or any third party endorses, sponsors, partners with, or is affiliated with the purchaser or the purchaser’s activity.

PROHIBITED CONTENT AND USES

Media may not be knowingly used in connection with:

  • Illegal activity.
  • Fraud or deception.
  • Defamatory or unlawful content.
  • Unauthorized impersonation.
  • Unlawful discrimination or harassment.
  • Content that violates applicable copyright, trademark, privacy, publicity, or other legal rights.

ADULT AND SENSITIVE CONTENT

Media may not be used in pornography or sexually explicit commercial content without prior written authorization from Wil the Photographer, LLC and any additional permissions legally required from identifiable individuals.

WATERMARK DISCLAIMER

Preview images or videos may contain visible watermarks, overlays, reduced resolution, or other security measures.

Purchased final downloads are generally provided without visible preview watermarks unless otherwise stated in the applicable product description or license.

DIGITAL WATERMARKS AND METADATA

Media may contain invisible watermarks, metadata, embedded identifiers, transaction identifiers, digital fingerprints, or similar technologies for copyright protection, anti-piracy, fraud prevention, security, and license enforcement.

The purchaser may not intentionally remove or tamper with these identifiers for the purpose of concealing unauthorized distribution or violating this Agreement.

LICENSE AND DOWNLOAD RECORDS

Wil the Photographer, LLC may maintain records reasonably related to licensing and digital delivery, including:

  • Order number
  • Purchase date and time
  • Customer account information
  • Media purchased
  • License type
  • Download activity
  • Download date and time
  • Associated technical or security information
  • License acceptance records

These records may be used to provide customer support, verify licenses, investigate unauthorized access, enforce this Agreement, prevent fraud, and respond to payment disputes or legal claims.

ELECTRONIC ACCEPTANCE RECORDS

Where a purchaser accepts this Agreement electronically, Wil the Photographer, LLC may retain records of that acceptance, including the date and time of acceptance, order information, account information, and other technical records reasonably necessary to document the transaction.

DOWNLOAD ACCESS

Download links may expire after the access period disclosed on the Site, in the customer’s account, in the applicable product description, or in the purchase confirmation.

The purchaser is responsible for downloading purchased Media within the provided access period.

BACKUP RESPONSIBILITY

Purchasers are responsible for securely backing up Media after download.

Wil the Photographer, LLC does not guarantee permanent storage or indefinite re-download access after the applicable download period expires.

NO OBLIGATION TO RETAIN FILES

Except where otherwise expressly stated, Wil the Photographer, LLC is not obligated to permanently retain, archive, or replace purchased Media after it has been made available for delivery.

NO REFUNDS ON DIGITAL MEDIA

Because digital Media cannot be returned after access or delivery, all digital Media sales are final.

No refunds or exchanges will be provided after access to the purchased Media has been granted, except where required by applicable law or where Wil the Photographer, LLC determines that the purchased file was not properly delivered.

Customers should review the applicable product description and license type before completing a purchase.

FILE COMPATIBILITY

Media is provided in the format identified at the time of purchase or delivery.

Wil the Photographer, LLC does not guarantee compatibility with every device, application, operating system, editing platform, printer, social-media platform, or third-party service.

The purchaser is responsible for maintaining compatible hardware and software.

MEDIA PROVIDED “AS IS”

Except as expressly required by applicable law, Media is provided “as is” and “as available.”

We do not guarantee that Media will meet every purchaser’s subjective expectations or be suitable for every intended use.

LICENSE VERIFICATION

Wil the Photographer, LLC may request reasonable proof of purchase or license information when investigating suspected unauthorized commercial use, distribution, resale, or infringement.

Failure to provide reasonable proof of a claimed commercial license may result in the use being treated as unlicensed unless other evidence demonstrates authorization.

COMMERCIAL LICENSE COMPLIANCE

For commercial licenses, Wil the Photographer, LLC may request reasonable information necessary to verify that the Media is being used within the scope of the purchased license.

Any compliance request will be limited to information reasonably related to the licensed Media and its use.

UNAUTHORIZED USE

Any use of Media outside the rights expressly granted by this Agreement or a separate written license is unauthorized.

Unauthorized uses may include:

  • Unauthorized reproduction or distribution.
  • Commercial use under a personal-use license.
  • Resale or sublicensing.
  • Unauthorized publication of full-resolution Media.
  • Use after a license has been terminated.
  • Intentional circumvention of download or access controls.
  • Use in violation of the AI, NFT, biometric, or other restrictions contained in this Agreement.

ENFORCEMENT

Wil the Photographer, LLC reserves all rights and remedies available under applicable law regarding unauthorized use of its Media.

Depending on the circumstances, enforcement may include:

  • Requests to remove unauthorized content.
  • DMCA takedown notices.
  • Platform infringement reports.
  • License termination.
  • Requests for payment of applicable licensing fees.
  • Injunctive relief.
  • Claims for damages or other remedies available under applicable law.

DMCA AND COPYRIGHT ENFORCEMENT

Wil the Photographer, LLC may submit notices under the Digital Millennium Copyright Act (“DMCA”) or other applicable copyright procedures when Media is distributed or used online without authorization.

Please provide sufficient information for us to identify the material and evaluate the claim.

DELIVERY SYSTEM SECURITY

Users may not intentionally bypass, disable, circumvent, reverse engineer, or interfere with security controls, authentication mechanisms, download limits, license controls, access tokens, or other systems used to protect or deliver Media.

FALSE OR FRAUDULENT PURCHASE INFORMATION

Using a false identity, stolen payment information, unauthorized account, proxy purchaser, or other deceptive method to obtain Media for unauthorized distribution or resale is prohibited.

TERMINATION OF LICENSE

A material violation of this Agreement may result in termination of the applicable license.

Upon termination, the purchaser must cease unauthorized use of the Media and, where reasonably applicable, remove unauthorized copies or publications.

License termination due to a purchaser’s violation does not create a right to a refund.

INDEMNIFICATION

To the extent permitted by applicable law, the purchaser agrees to indemnify and hold harmless Wil the Photographer, LLC from third-party claims, liabilities, damages, and reasonable costs arising from:

  • The purchaser’s unauthorized use of Media.
  • The purchaser’s violation of this Agreement.
  • The purchaser’s unlawful modification or publication of Media.
  • The purchaser’s failure to obtain permissions or releases required for the purchaser’s intended use.
  • The purchaser’s infringement or violation of another person’s rights.

LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Wil the Photographer, LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the purchaser’s use or inability to use the Media.

To the fullest extent permitted by law, Wil the Photographer, LLC’s total liability arising from a particular Media purchase will not exceed the amount paid directly to Wil the Photographer, LLC for the applicable Media or license.

Nothing in this Agreement limits liability that cannot lawfully be limited or excluded.

THIRD-PARTY CLAIMS

Wil the Photographer, LLC is not responsible for claims arising solely from the purchaser’s unauthorized, unlawful, misleading, defamatory, or out-of-license use of Media.

EXPORT AND SANCTIONS COMPLIANCE

The purchaser agrees not to knowingly use, download, export, re-export, or transfer Media in violation of applicable United States export-control or economic-sanctions laws.

NO PARTNERSHIP OR AGENCY

This Agreement does not create a partnership, joint venture, employment relationship, franchise, agency relationship, or endorsement between the purchaser and Wil the Photographer, LLC.

FORCE MAJEURE

To the extent permitted by law, Wil the Photographer, LLC is not responsible for delays or failures in digital delivery or service caused by circumstances outside its reasonable control, including internet outages, hosting outages, cloud-service failures, cyber incidents, natural disasters, governmental actions, utility failures, or similar events.

PRIVACY

Information related to purchases, downloads, licensing, accounts, and digital delivery is handled in accordance with our Privacy Policy .

TERMS AND CONDITIONS

This Agreement should be read together with the general Terms and Conditions applicable to purchases and use of the Site.

If a specific written commercial license expressly conflicts with this Agreement, the specific written commercial license will control with respect to that licensed use.

SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, that provision will be limited or modified only to the extent necessary, and the remaining provisions will remain in effect.

NO WAIVER

A failure or delay by Wil the Photographer, LLC to enforce a provision of this Agreement does not waive the right to enforce that provision or any other provision later.

ENTIRE AGREEMENT

This Agreement, together with any applicable product description, commercial license, Privacy Policy, Terms and Conditions, or other agreement expressly incorporated into the transaction, constitutes the agreement governing use of the applicable Media.

CHANGES TO THIS AGREEMENT

Wil the Photographer, LLC may update this Agreement periodically.

Updates will be reflected by changing the “Last Updated” date displayed at the top of this page.

An updated Agreement applies to future purchases and future uses to the extent permitted by applicable law. Any separately executed written license remains subject to its own applicable terms.

GOVERNING LAW AND JURISDICTION

This Agreement is governed by the laws of the State of Florida, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising from this Agreement will be brought in an appropriate state or federal court located in Orange County, Florida.
